Description

Element Energy is seeking a Senior Commercial Counsel to lead and oversee all commercial legal matters. This individual will be responsible for providing strategic legal guidance, managing contract negotiations, ensuring regulatory compliance, and mitigating legal risks associated with commercial transactions. The Senior Commercial Counsel will work closely with leadership, sales, operations, engineering, and other key stakeholders to support business operations and growth while maintaining legal and ethical standards.

Credentials

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in good standing with a state bar.
• At least ten years of legal experience, with a focus on commercial transactions, with experience in corporate and compliance activities.
• Experience working in the energy, technology, or manufacturing sectors preferred.

Responsibilities

• Provide strategic legal counsel on commercial transactions, contracts, and corporate matters to support business objectives.
• Draft, review, and negotiate a wide range of commercial agreements, including customer, supplier, partnership, and licensing agreements.
• Ensure compliance with federal, state, and international regulations relevant to Element Energy’s business operations.
• Identify, assess, and mitigate legal risks associated with commercial transactions and corporate governance.
• Advise leadership on legal implications of business strategies, investments, and partnerships.
• Manage contract lifecycle processes, ensuring alignment with company policies and risk management strategies.
• Oversee legal aspects of intellectual property protection, licensing, and technology agreements.
• Support corporate governance and compliance programs, including ethics, anti-corruption, and data privacy regulations.
• Collaborate with external legal counsel as needed to address specialized legal matters.
• Monitor legal and regulatory developments that may impact the company’s operations and provide proactive guidance.
• Represent the company in legal negotiations, disputes, and regulatory discussions as necessary.
• Perform other duties as assigned.
